1. Who these Terms apply to
By visiting sachaltech.com, submitting any form, downloading any artefact, sending an email confirming intent, signing a proposal or accepting any payment from Sachaltech, you agree to these Terms. They apply to (a) website visitors, (b) applicants and candidates, (c) contractors and employees, (d) clients and partners, and (e) prospective investors using the Deal Matcher, industry comparison, PDF deck or email-matches flow. If you do not agree, please do not use the site or engage with us.
2. Nature of the relationship
Submitting an application, expression of interest, contact form, matcher input, newsletter consent or PDF download does not create an employment, contractor, agency, partnership, fiduciary, advisor, broker-dealer or joint-venture relationship. Such a relationship is created only by a separate written agreement signed by an authorised officer of Sachaltech.
3. Investor-facing features (Deal Matcher, industry comparison, PDF deck, Email matches)

informational only. Nothing on these pages, in the matched results, in the runners-up list, in the “next steps” protocol, in the downloaded PDF, or in any email we send through the “Email me these matches” flow constitutes (a) an offer to sell or solicitation to buy any security or investment, (b) investment, tax, legal or financial advice, (c) a recommendation tailored to your circumstances, (d) a guarantee of returns, allocation, or participation in any opportunity, or (e) a fiduciary duty owed to you by Sachaltech. Participation in any private offering requires fully executed transaction documents, KYC / AML clearance, accredited-investor verification where applicable (Ontario Securities Commission Rule 45-501 and NI 45-106 in Canada; comparable suitability checks in Nepal under Securities Act, 2063), and consultation with qualified counsel and tax advisors in your own jurisdiction. Sachaltech does not act as a registered dealer, adviser or investment-fund manager in any jurisdiction and does not transact with U.S. persons within the meaning of Rule 902(k) of Regulation S without separate documentation.
4. PDF deck downloads and locally-generated artefacts
The PDF deck downloaded from /investors/industries is generated client-side from the sectors you tick and the active filter / search at the moment of download. The deck is a snapshot for your internal review and may not reflect later changes to our pipeline, governance posture or risk preconditions. You may share the deck with your advisors and colleagues for diligence purposes; you may not republish it, post it publicly, or remove the “Confidential” markings without our prior written consent.
5. Email-matches consent (CASL & Nepal Electronic Transactions Act)
The “Email me these matches” option is an
express opt-in for a single transactional email containing the best-match summary, runners-up, your inputs and the next-steps protocol, plus one one-time follow-up from our IR team. This constitutes express consent under Canada's Anti-Spam Legislation (CASL, S.C. 2010, c. 23). Every such email contains a one-click unsubscribe link that, when used, immediately suppresses your address; you may also email
privacy@sachaltech.com. Under Nepal's Electronic Transactions Act, 2063, electronic communications you send to us through any form on this site have legal validity equivalent to written communication.
6. Careers application & uploaded documents
When you apply at
/careers/apply you confirm that (a) all information you submit is true, complete and your own; (b) any identity document you choose to upload is genuine; (c) your resume and portfolio do not infringe any third-party rights; and (d) you accept the engagement, payment and truthfulness acknowledgements presented in the form. Uploads are limited to 10 MB per file in PDF, DOC, DOCX, JPG, JPEG or PNG format and are stored privately. Sachaltech may withdraw any offer or terminate any engagement, with no further liability, if any submission is found to be false, misleading or plagiarised.
7. Pay-on-satisfaction model (contractor & milestone work)
For all milestone, contract or freelance engagements, compensation is earned and released only after (a) the assigned scope is delivered, and (b) the relevant Sachaltech engagement lead, or where applicable the end client, has signed off on the deliverables in writing (including email confirmation). Sachaltech is not liable for delays caused by client review cycles, scope changes initiated by the client, or non-payment by an end client outside our control. For permanent salaried roles, statutory salary cycles agreed in your offer letter apply; Nepal-based employees are covered by the Labour Act, 2074, and Ontario-based employees by the Employment Standards Act, 2000.
8. Confidentiality
You agree to keep confidential all non-public information about Sachaltech, its clients, investors, products, source code, business plans, pipeline opportunities, PDF-deck contents and personnel that you encounter during any application, evaluation, trial or engagement. This obligation survives termination indefinitely.
9. Intellectual property
All work product created in connection with paid Sachaltech work — including code, designs, copy, models, decks and documentation — is assigned to Sachaltech (or its client where contractually required) on creation. You retain rights to your pre-existing materials and grant Sachaltech a perpetual, royalty-free licence to use them as embedded in deliverables. Articles published on
/articles remain Sachaltech's copyright; quoting with attribution is permitted.
10. Truthfulness, KYC & verification
All information you submit through any form (contact, matcher, careers, email-matches) must be genuine. You authorise Sachaltech to verify it with reasonable third parties (background checks, employment verification, sanctions screening, accredited-investor verification under Canadian and Nepalese law). False or misleading submissions are grounds for immediate termination of any engagement and may be reported to authorities where required.
11. Non-solicitation
During any engagement and for 12 months afterward, you will not directly solicit Sachaltech's clients, investors or team members away from Sachaltech for competing services. This clause is enforceable to the maximum extent permitted by the Ontario Restrictive Covenants jurisprudence and Nepalese Contract Act, 2056.
12. Limitation of liability
To the maximum extent permitted by law, Sachaltech's total aggregate liability arising out of or related to your use of the site, the Deal Matcher, the industry comparison, the PDF deck, the email-matches flow, your application, evaluation, trial or any engagement is limited to the amounts actually paid by Sachaltech to you (or by you to Sachaltech, whichever is higher) under the relevant signed agreement in the 6 months preceding the claim, or CAD 100 for visitors who have no signed agreement. Sachaltech is not liable for indirect, incidental, consequential, exemplary or punitive damages, or for loss of profit, data or goodwill. Nothing in these Terms limits liability for fraud, willful misconduct or any liability that cannot be excluded under applicable consumer protection law (Ontario Consumer Protection Act, 2002 and Nepal Consumer Protection Act, 2075).
13. No guarantee of work, allocation or returns
Submitting an application does not guarantee an interview, trial, offer or any volume of work. Trial projects, paid or unpaid, do not guarantee a longer engagement. Submitting matcher inputs does not guarantee allocation in any opportunity. Historical examples on this site do not guarantee future performance.

15. Governing law & dispute resolution (dual jurisdiction)
For visitors, applicants and contracts originating in Nepal, these Terms are governed by the laws of Nepal, with disputes resolved by binding arbitration seated in Kathmandu, Nepal under the rules of the Nepal Council of Arbitration. For clients, investors and applicants resident in Canada, these Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, with disputes resolved in the courts of Toronto, Ontario, except where a written agreement you sign with Sachaltech specifies arbitration under the Ontario Arbitration Act, 1991. Where a signed engagement agreement contains its own jurisdiction clause, that clause prevails for that engagement. You waive any right to participate in class actions to the extent permitted by law.
16. Changes & how to read past versions
We may update these Terms from time to time. The version in effect at the time you submit a form, sign a proposal or download a PDF applies to that interaction. Material changes are dated above; on request we will provide the prior version.
